Kernel Panic Problem PLS help...

Hello i am having this really weired problem with all the linux distros that i try to install... it's the kernel panic problem... here is my system's config:
intel 1.8 ghz(socket 478 non-ht) cpu, 845 mobo with agp 8x slot, XFX fx5200 256 mb agp card, 512 megs of ram, 2 hdd's 80 gigs each, 2ide drives...
now the problem is that when the agp card is plugged in the slot linux won't boot the error message that i get shows up during the initializing hardware phase... it says this(only the last 2-3 lines are shown...):
[<c0311443>]syscall_call+0x7|0xb
code:d8 35 c0 5b 89 d0.............<39>70 04 76 0c 89..........
<0> Fatal Exception: panic in 5 seconds
Kernel panic-not syncing: Fatal exception

the problem disappers when i take out the agp card... And yes i disable the on board gfx controler when the system is using the agp..
i have used: centos,RHEL(this i got with the Red Hat Training KIT), Ubuntu(in this is the system hangs at the HOT-Plug manager initialization), Fedora Core.. i wasnt able to install any distro because of the problem... in order to install the distro i have to take out the card...

now here is the tricky part Red Hat Linux 9 installs perfect and works perfect even with the agp card plugged in

Pls Help...

It appears to be a kernel issue with that board. If you google "linux intel 845 kernel panic" you will see lots of entries discussing this issue. RH9 uses an old 2.4 kernel that seems to work OK with that mb/chipset. The distros that didn't work are all 2.6 kernels. If those two hard drives are in a raid configuration, that seems to cause problems as well. Try the most recent distros that you can get your hands on as they will have the newest kernels and will have a better probablility of having fixed any kernel issues.
