another one bytes the dust!
the problem was with the NIC it self, in spite of it replaying to ping (didn'y lost even 1 pocket & i pinged it to icmp=10000) it was getting cold feet passing smb traffic (i guess he ain't a windows fan also) any way i replaced it with a brand new NIC & now it mount's flawlessly, well all most i still get this odd messages :

but i can access the share & get my mysql-4.0.20.tar.gz tarball without a problem, yipppi

* a tip guys : if you're trying to mount a w2k3 smb share, be sure to disable it's "smb signing-required" through "group policy" otherwise linux wouldn't be able to comunicate with it, or at least i don't know of a way to make it communicate that way
- found that while i was tested the mount command on my other win machine.
** one more : when you send it(windows) a password it authenticates using it's local SAM, i do not know of a way to make it do domain authentication even though the computer is a windows kerberos domain member.
