You must create the .Xresources or .Xdefaults in your home directory. It shouldn't matter which one you use. Personally I use .Xresources. Mine looks like this:

xterm*background :black
xterm*foreground :green
rxvt*inheritPixmap :true
rxvt*foreground :black

Google is you friend for some better examples
