Can't Ping Out of EtherLink XL TPO (3C900-TPO)

Hello All.
When I Try to ping my modem (Thomson SpeedTouch 510 Ver 4 somthing) - I get no reply.
Network Card : 3Com EtherLink XL TPO 10Mb Ethernet NIC (3C900-TPO) - a.k. Boomerang
As the manual advised, The Configuration is :
/etc/sysconfig/network-scripts/ifcfg-eth0 :
# 3Com Corporation|3c900 10BaseT [Boomerang]
DEVICE=eth0
ONBOOT=yes
BOOTPROTO=static
IPADDR=10.200.1.1
NETMASK=255.0.0.0
HWADDR=00:60:97:AA:07:EC
modules.conf uses 3c95x.o (recommended by HowTo)
and here it come...
when trying to restart network service :

This is the fifth time that I installed the system - but this is not the problem.
Even tried to replace NIC slot.
My machine is dual bootable - with WIN 98.
and from there I wrote this message (surfing just fine)
almost forgot : uses RHEL 3, P3, 128 RAM
I'm about to give up.
