Slack9 usb cable modem


please help with this one if you can,

I'm running Slack9, kernel 2.4.20 I believe. I have no nic, and a cable modem via usb 1.16. I don't know how to get the cable modem and dhcpcd working properly Here's what I know about it so far:

-CDCEther module loaded/registered
-acm module deregistered at boot(turned it off)
-eth0(or eth1) aliased in modules.conf to CDCEther
-dmesg error from dhcpcd is something like this:
no such device SOSIDFOISIOFDIOS: ioctl ...etc..
-usb-uhci aliased to usb-interface and usb loading
-usb module detects my modem, labels it Toshiba RNDIS
adapter(it's a pcx2500) but does not associate with driver
during boot: usb device 2 ...not claimed by driver
-the command ifconfig -a shows only lo loopback, no eth's

So my questions go something like this:
1) How/where do I get a device eth0 eth1, etc. to show from ifconfig
2) How do I associate the usb cable modem to its CDCEther driver?
3) How do I make sure the modem with its drivers are the device associated with eth0(or 1) and called by dhcpcd?

Or generally, how do I set up the usb cable modem?
