For starters, don't even THINK about getting anything older than the current version (mySQL 5.0). At least not if you want views, subselects, ANSI join syntax, or any of a zillion other things that have long been "standard" in Oracle, DB2 or SQL-Server.
Next, count the number of lines of PL/SQL code you have. It all needs to be re-written.
If you have any C programs that use OCI, count those lines and consider it likely they'll need to be re-written, too.
That should give you a rough idea of where to start...
