Although my panel icon says I connect with RHN and it says 0 updates available, if I log on to RHN via webpage it says differently It says I haven't checked in since last month. RHN's "My system isn't checking in" stuff and also tried to rebuild my RPM database but got this error
error: db4 error(16) from dbenv-> remove: Device or resource busy
that is a bug and is supposed to be fixed soon in the upcoming release of rpm (if not fixed already) a work around is: LD_ASSUME_KERNEL=2.4.19 rpm --rebuilddb
Thanks that worked...one more ques, on errata updates I'll select them and it will say scheduled. For what? will it update when it feels the need? I never see and opt to download.

Look again. There is an option to download package files manually.
Schedules packages are downloaded and installed when you have the Red Hat Network Service Daemon (rhnsd) running. It polls Red Hat Network periodically.

Also, "up2date -p" will resync your system rpmdb with what's on RHN. Then you can run "up2date -l" to get a list of available updates.
There was a problem with the SSL cert expiring and you will need to download and install the latest version of up2date and up2date-gnome from the rhn website.
