Shutdown problem

i am using rhel as4 in Intel 915 chipset with dual core processor and 512MB RAM.
when i am trying to shutdown from both GUI and Command line using shutdown command, its not getting down.
in GUI the screen goes blank and caps lock LED starts blinking.
in text mode it gives error: kernel panic and processor fan starts rotating with very high rpm.
where should i look for the solution ????

The kernel panic error is not usually by itself, it normally has some other message like "not syncing" after it. Which is it in your case? And where in the shutdown process does the panic occur (you'll have to see the messages for this).

Have you tried exiting X and then issuing the shutdown command?

There are quite a few of these. eg.

Yes its also giving a "not syncing" msg.
I have tried exiting from GUI also.
its giving same error.
