Using Mencoder or Avidemux to convert to xvid

I am having problems converting a video file from:

DivX MPEG-4 Version 5
MPEG-4 AAC

to:

XVID MPEG-4
MPEG 1 Audio, Layer 3 (MP3)

Avidemux identifies "matroska clusters" and "matroska images" upon opening the file, then tells me that "No audio decoder can be found" and that any resultant file will have no audio. However, the video file does play correctly, with audio, in both mplayer and VLC. I'm surprised it identified matroska since it's not an MKV file.

I thought I would try Mencoder instead, but the command I cobbled together to try and convert this file:

mencoder inputfile.avi -ovc lavc -oac mp3lame -ofps 25 -o outfile.avi

... skips frames all the time so the audio goes out of sync. Despite attempting to set the frames at 25 which is what they're supposed to be. I'm not even sure it would convert correct from divx to xvid with that command, even if I could get the sound synched correctly.

Could anyone offer any advice for this problem? Is there a better piece of software I could use for this task?

Thank you for any help you can give.

i use "pazera free mkv to avi converter", it supports all formats, it is run in wine. I know it has lame name, but works perfectly to do such jobs.

Hey, it works! Thanks very much. I tried converting, then playing the first 5 mins of the file and it played fine, so I am converting the whole file right now.

Thanks again.
