I see the below message in /var/log/messages continuously
kernel : transmit timed out, status 0073
what does it mean?? hardware issue or software issue? why the TX is timing out because of any buffer leak?
Google didn't help,somebody was talking about thomas fix? what is this any idea??

Google returned quite a bit on that. It's related to your network interface(s). Since you don't say what version/distro of Linux, on what hardware, it's hard to be of more help.

My network interfacse are from PCNET interfaces,so pcnet32 driver is complaining this error.And the kernel version is 2.4.20/22

Well, you still don't say what version/distro of Linux, or what specific hardware you're running. However, since you're running a very old kernel (2.4), the first thing I'd suggest is upgrading the system.
2.6 updates everything, including the hardware modules. If you're running new hardware on an old OS, that'll do it.
