I'm not familiar with raid 5 at all, but the dual cpu is no problem for debian. if you able to access the internet, use:
apt-cache search kernel-image-2.6
this will give you the latest kernel images for the 2.6 kernel. I notice you listed the 2.4 kernel, so if you want to stay with the 2.4 kernel I imagine that will also give you the listings. The trick for the dual cpu is choose the listing that have "smp" in them (symetrical multiple processors [sp??]). Once you have chosen, use:
apt-cache show <your choice>
you may have to install a couple more programs such as fakeroot or ncurses, but debian should let you know about the dependencies.
apt-get install <your choice>
I would highly recommend grub as the bootloader, as grub preserves the old kernel and just adds the new one to the top selection. I've never tried this type of install with LILO.
To verify that you are using both cpus, run "top" and then press fj <enter>. Top shoud add another column (maybe with the heading of "P" or "C") that is full of zeros or ones. 0 is for the first cpu and 1 is for the second.
Maybe someone else can help with the raid 5.
