Question Is it possible for a kernel to panic? (warning -> newbie inside) [Solved]

First of all I would like to say a big HELLO to all the ppl here!
However I will probably need the knowledge of the ppl here cause I'm stuck just in my first attempt to install linux..
Now to the problem. I have d/l ubuntu 6.06 desktop & alternate, ubuntu 6.10 desktop & alternate, opensuse 10.2. I will focus to my problems with ubuntu 6.06 which was the first one to use.
I have double-checked hashes, burn them in 2x in brand new cds.
The specifications of the pc are: k7 Amd 550Mhz, 256mb ram, tnt2 32mb, msi motherboard, msi cdrom, maxtor 12 gigs hard drive, floppy, cables etc etc...
The hard drive was formated, windows have vanished, there are no known format on the hard drive.
Both desktop & alternate ubuntu cds are giving me the same errors, when booting I'm getting the options screen ( install, install safe mode , check cd for errors.. F1, F2.. ) everything. But when I'm using any option (install for example) i always get an error in the following form:

I quote some of the last lines or the "error code"
where # = numbers
{bla bla bla

[####.#######] [c#####] sys_write+0x38/0x80
[####.#######] [c#####] populate_rootfs*0x91/0xd0
[####.#######] [c#####] init+0x0/0x150
[####.#######] [c#####] init+0x18/0x150
[####.#######] [c#####] kernel_thread helper+0x5/0x10
[####.#######] Code: 85 db 75 9d 8b 46 10 8b .... and so on for about 2 more lines....

[####.#######] [c#####] kernel panic_not syncing! Attempted to kill init!
}

I was a window-guy, I know that the last file kernel_helper panics my kernel, the problem is that i don't know how to disable it from loading with the ubuntu....
If the problem is not in the kernel_helper where else should I look?
Some people are talking about live cd, is there a live cd for ubuntu? (can someone post the link?)
Suggestions, ideas, similar problems, relations to other parts of life and whatever, are more than welcomed cause right now I in full panic (same with my kernel....)

kernel (/boot/vmlinuz*) is the base of the operating system so you can't "disable it" or you'd have no operating system.

"kernel panic" means it tried to do something that it couldn't correct so it bailed out. (My favorites are double panics - it panics while panicing.)

Unfortunately I don't do ubuntu so can't give much more information on that. Doing a Google search using the exact text of the message (leaving out date/time and hostnames that might be unique) may find you other's who've seen the issue you're seeing and show how they resolved it.

You could try removing peripherals and devices from your computer for the time being. Pull out sound cards, modems, pci cards, network card, memory, etc... and see if that solves the problem. Otherwise, I don't know what else to tell you.

Dear micro 240,
You were right!
After making a matrix-style box with all the possible combinations of hardware i was able to find the solution to the "panic-ing" of the kernel.
I write this down just for reference about the memory didn't proved to be combatible with the ubuntu alternate 6.1.

}
It was 64 mb memory with Hyundai chips on it
As soon the memory was out, everything started normaly and finished normaly...
Now I will proceed to the exploration of the linux... far more questions to come..
Thnx
