Ok, let`s go:
1. You must free some space on your HDD for Ubuntu (use Partition magic or something similar)
2. boot from your Ubuntu cd
3. when your Ubuntu is booted from cd, on your desktop is icon Install (or something like, i don`t remember )
4. click on this and follow instruction
5. after 20-25 min (it`s depends on your hardware) Ubuntu is installed
6. after rebooting, choose system (ubuntu or Win)
7. taht`s it
.
.
.
x. ask is something going wrong

You can see details here!

Aloha,
You can boot the Ubuntu Live CD and use Gparted (Partition Manager) to edit and resize the Windows Partiton. To do that though you need to defrag, virus scan, backup, then shut off the swap partition in Windows. Reboot onto the LiveCD and resize it.

Ubuntu has a guided installer with a slider to resize the partition while installing the OS as a dual boot. It's very simple.
Then if you want Win to boot first automatically just cut and paste it from the bottom of the boot/grub/menu.lst to the top just above Ubuntu and it will then become the default.

Aloha,
You can also do a "sudo gedit /boot/grub/menu.lst" and then change the default from 0 to 1. Then windows will boot automatically as well.

Edward
