PHP 4.3.4 + Apache 2.0.48 won't install

I have installed apache with the following paramenters:

./configure --enable-ssl --with-ssl=/usr/local/ssl/ --enable-so --enable-modules=all

That installed fine and everything functions properly, including https. Then I attempted to install php, but keep getting errors on "make install". It compiles fine, but won't make the module for apache, even though I point it at apxs. I compile php with the following parameters:

./configure --disable-all --disable-cli \
--with-mysql=/usr/local/mysql/ \
--with-openssl=/usr/local/ssl \
--with-pdflib /usr/local/lib \
--with-zlib-dir=/usr/lib \
--with-jpeg-dir=/usr/lib \
--with-png-dir=/usr/lib \
--with-ttf=/usr/lib \
--with-freetype-dir=/usr/lib \
--enable-versioning \
--enable-track-vars=yes \
--enable-url-includes \
--enable-sysvshm=yes \
--enable-sysvsem=yes \
--enable-ftp \
--with-config-file-path=/etc \
--with-gd \

I have not installed any other packages associated these, and am running off of a RH9 system. The error I get when trying to install the compiled PHP files is:

make install

Warning! dlname not found in /usr/local/apache2/modules/
Assuming installing a .so rather than a libtool archive.
chmod 755 /usr/local/apache2/modules/
chmod: failed to get attributes of `/usr/local/apache2/modules/': No such file or directory
apxs:Error: Command failed with rc=65536
make: *** [install-sapi] Error 1
Any idea how can I make this work?

Any suggestions? This is a known problem, I could not find a solution though.
