Do I need to upgrade mysql?

I've been using mysql 3.23 for a long time and I have no complains.
I have two servers that are replicating between them.
Now I need to replace one of those servers, I am installing Debian Sarge and can't find a .deb file older than mysql 4.0.
The problem is that I can't go on with the replication if I don't upgrade the other server. I very much prefer to install mysql 3.23 on the debian box (downloading the tarball) than to upgrade the other server. Unless you can give me a good reason to do so.
Thanks.

Install the same version of Debian and or grab the mysql packages from the older Debian install cd's. to be honest, if your upgrading the actual distro from the other, you might want to keep them the same since there is replication going on between them. Upgrade one, get it replicated and running, then upgrade the other, then start your replication once again between them.
