Difference between NetStumbler and Ethereal


I am trying to explain my friend the difference between using a tool, such as NetStumbler from a tool such as Ethereal in terms of legal consequences. I told them that there is no difference. Can some help me and tell if there are any differences?

Also I am looking for a Linux passive Wi-Fi scanner that scans for both open and closed networks. Can you tell me which one to used. I am just trying to learn something new.
