Yes, VMware tools need to be installed. I am going to bring up another vm that IS working correctly and copy the sources.list file and then edit the one for this system and see if that does anything.
I have it working. The problem was that a recent update to the Anti Virus software on the host enabled the firewall on the host which, for some reason blocked all the VMs. As I am behind 2 firewalls already, I killed the Windows firewall and the AV app that was managing it and everything works now.

this was driving me insane, disabling Symantec endpoint protection on the host allows apt to connect, reenabling it i get this:
Failed to fetch xxxx Cannot initiate the connection to au.archive.ubuntu.com:80 (2001:388:30bc:cafe::beef). - connect (101: Network is unreachable) Could not connect to au.archive.ubuntu.com:80 (202.158.214.106), connection timed out
