Help us to help you - make a useful title. Read the instructions for this site. Read the documentation supplied. And remember - google is your friend.

How do you know it keeps rebooting?

It keeps rebooting means when I boot with xp it works fine but when I boot with RHL5.0 which I have setup earlier, the PC reboots frequently

What's in your logs for these random reboots?

Yes you said - but you have not provided any additional information.
What is happening which tells you that the machine is rebooting?
Please be pedantic - what is the machine doing as it boots - then reboots - then again?

Do you get all the way to a desktop and some time later the system suddenly restarts - as if you had clicked "restart" from the shutdown menu? OR do you barely get through the boot process before it suddenly starts again? (You said "it does not boot" so I'm betting on the latter.)
Do you see the POST appear again? The GRUB menu? The init boot messages?
Do you see any [FAILED] boot messages?
Do you see a message which says "Kill signal received, rebooting"?
Has it always done this or is it something that started up recently?

There is so much you can tell us about what has been happening.

You system log from the previous boot can be helpful - some of the last messages will be some notice about why it is booting.
