Apache2 CLOSE_WAIT

I have an apache2 webserver that craps out within minutes with tons of

$ netstat 
::ffff:202.133.61:42758 CLOSE_WAIT
list goes on forever...

There are no php scripts and the only script running uses rsync.

Anyone have a suggestion on what to further look for? If I stop/restart th problem comes back within minutes.

Could you please provide the output of netstat -plant or netstat -plant | gerp EST
