Update Installed Ubuntu

I have a computer with Ubuntu 5.04 installed and I'd like to upgrade to ubuntu or kubuntu 7.04. I have disks for both. Shall I just install the new system over the old one or use the update manager. If I should use update manager can someone give me a quickie few steps to get me started?

That's a big step from 5.04 to 7.04, there are bound to be major changes in between. Save yourself some headache and do a fresh install.

you should sequentially upgrade from 5.04 to 5.10 to 6.04 to 6.10 to 7.04 to 7.10. I have done this, and it works.
