Hi All. Inorder to use some new software I need to update our kernal. Can someone explain to me how this is done or point me to some documentation to get me through this? I am at 2.4.20-8. Thanks all.

Have you looked into using apt to update your system (http://ayo.freshrpms.net)? I know they provide kernel updates for RH9. If you choose to use apt, you can use 'synaptic' as a nice graphical frontend to it.
