What virtualization software are you using?
What architecture- cpu- is it emulating.
Do you have para virtualized or direct.
How much memory is required by the server and how much do you have available?

Ok.
Microsoft Virtual PC is optimized for microsoft product. You're better of with VirtualBox. This is my opinion.
Two and three are okay.
Four, that's a problem. Servers with desktops require more memory, especially 64 bit. 512M should be the minimum.
