There is no version of Windows that will run with 4MB memory, and almost no Linux version either - though some of the embedded versions can run.
Ubuntu requires a minimum of 512MB (you really want 1GB or things really run slow due to paging), and 5GB for permanent storage (and you really want something like 10GB).
Yes, the panic screen capture is needed. It may not be a memsize issue (512/1024 ok)
In VirtualBox, there's "Take Snapshot" (might you try VBox instead?)

Also maybe: When booting Ubuntu, press any-key (space) then press F6 and try options like nolapic
Did you try the boot option "nolapic" (which I asked above)? See here for howto.
(or does it not get as far as those "Ubuntu CD Welcome Page Options" screens?)
