oops:0000
CPU:0
EIP:0060:[<c010ab2c>]not tainted
EFLAGS:00010002
EIP is at disable_irq[Kernel] 084c(2.4.20-8)
Code:ff 50 10 ed od 90 90 90 90 90 90 90 90 90 90 90 90 90 90
<o>Kernel panic:attempted to kill int!
Red hat 9 is already 5 years old, it is likely that an older kernel (2.4.20) would not work well with new hardware, or that it contains bugs that have been fixed since.
I will warn you that RedHat 9 is very old. Perhaps, try setting up Ubuntu, or one of its spin-offs (Xubuntu, Kubuntu, etc.)
I've usually seen this happen when using a kernel with an initrd image - no idea why it would be doing that, though, on a fresh-outta-the-box install. Usually, it waits for you to do a package update or compile your own kernel before you start getting kernel panics.
