920131 - how to install packages offline?

hi
consider an ubuntu 12.04 server which is not connected to the internet is going to be setup. consider all required packages are copied into a directory in the server, but none is installed yet.
i need to use apt-get install to install required components and i need ubuntu to refer to the directory for the required packages instead of going online to download them. this is required because the server is offline.
how is it possible?

thanx for reply
i tried it, but it didn't work. although the required packages are existing in the cache directory, ubuntu persists to download them!
