Unhappy Netelligent FAILS

Hello all --

I have a compaq Neoserver running RH9 (fresh-install)
I have a Compaq Netelligent dual nic installed. I ran 2k adv for the longest time, and got sick and tired of it taking 10 minutes to boot, so I switched this machine to RH, and now I am kinda wishing I didn't. I cannot get eth0 or eth1 to start. Upon bootup, I get the following error message --

SIOCSIFFLAGS: Device or resource busy -- failed

I have no earthly idea what this means, other than something is tying up the nic, but there are no other cards in the system, and the card works wonderfully under windoze. It is using the correct driver, as determined by some extensive googling, and the driver that was chosen was done by anaconda, so I have not modified anything. When I do look under the information center under KDE -- It sees both nics, and tells me that they are Compaq Netelligent 10/100 dual cards. Using I/O port 1000 & 1010, respectivly.

I'm at a loss here -- any help would be appreciated!
