You'll be limited in your choice of mboard if you intend to keep your DDR ram. DDR2 has been standard for quite a while and is not pin-compatible with DDR.
If you plan to upgrade your memory, you'll probably spend a lot more than $150 on the resulting domino effect (Socket 775/AM2, PCIe, S-ATA etc)
Another option is looking for 2nd hand parts, which will be much cheaper and allow you to use some of your old stuff
