1, how do you upgrade? Well, its quite simple really, just flash a new rom to it. You can choose between either Sharps "official" roms, or the 'Opie' roms. The Official ROMs have a few advantages like being able to run Java Apps, and having Opera as the web browser. And the Opie ones are a bit more 'open'.
2. Does it have a terminal? I'm not sure if the 'Official' rom has the terminal preinstalled, but you can always download it.
wait, I didn't totally get that...you upgrade the kernel version by changing a ROM??...doesn't this suck? since you have to buy something to be able to upgrade your kernel?

No, all you have to do is copy the new ROM image to a compact flash card, and do a special reboot. Wait a few minutes, and voila! Completely free
