why the difference, why the net doesn't work

I have a problem with my eth0. Gentoo 2004.1. The ip and nameservers were copied from slack 9.1, where the net works. Also, in the kernel 2.4.25 compilation I used a config from Slack. The difference is only in gcc version: slack gcc 3.2, gentoo gcc 3.3.
This is what dmesg says:
...
ne2k-pci.c:v1.02 10/19/2000 D. Becker/P. Gortmaker
eth0: RealTek RTL-8029 found at 0xd000, IRQ 17, 00:05:1C:1B:95:A0.
NETDEV WATCHDOG: eth0: transmit timed out

...
Any hints?
Thanks in advance
