I believe this will be too old and slow for an Ubuntu workstation with a GNOME desktop environment. You will need something less demanding - Xubuntu may be the way to go.

Well, dear Hamlets.

It is possible (more than possible), that Ubuntu will work, but if you don't buy some extra RAM it will be very slow. If you decide not to buy some RAM, than create a minimum 300-400 MB swap partition. Without swap, it won't work (will be slow, but what to do?). An advise: If you wanna spend some money on your PC, than spend it on the RAM. Truely. PCs with fast CPU and little RAM will be slow. Good luck!

Do i have to download xubuntu or it is in Ubuntu 5.10 CD?

I have an old laptop (550MHz Celeron) that had 64MB of RAM in it and Ubuntu 5.10 did install and run. It was frustratingly slow, though. I upgraded the memory to 192MB (the most it would take) and it ran fine. Actually, I recently installed Kubuntu 6.06 RC on it (KDE desktop) and it runs even better. :)

You would need to convert the desktop environment from GNOME to Xfce4, which is the primary difference between the two. They discuss the process here:
