yap... I just figured out that was the problem.. I didn't notice that in 2.6 there are 2 modules to be loaded, I found it in a gentoo FAQ.
*I agree with Hooper, source installation is far better than rpm.

anywayz..
I got the fglrx being used in lsmod now. and I ran into another problem -_-

Did you do a graphical or text based XF86Config install? When doing your config for Xfree, try using the text based fglx config. See what happens.

Wanted to add to copy your xfree config to old before messing around. Then do a text based config and see what happens.

well.. I did the fglrxconfig and make a new config, but still got the same error.. it could be something wrong in the kernel configuration..

Hmmm. Darn. ... going to get a bite to eat. I'll think about this one. I've never had the error but I understand what it's doing by the error. I'll help google on this for a bit. See if we can come up with an answer.

Hmmm...I have a few things to do but I will also check on this some more when I am finished. I think we can figure this one out. Out of curiosity...you did use the *external* agpgart during fglrxconfig and disable user page locking also???

Hmmm...I wonder. What if we just applied THIS patch anyway, and then re-installed the drivers. Worth a shot.

Just copy the patch to your build_mod directory, cd there, run "patch -p0<fglrx-3.2.8-fix-amd-adv-spec.patch"
and then ./make.sh again, and ./make_install. Remove the previous fglrx module, load the new, see what happens.

I tried that, it works!! (darn... the latest driver still needs that patch...)

the good news is that there is no error in dmesg
the AGP fully initialized
and in XFree86 log I could see the "DRI installation complete"

now, the bad news:
my screen dies all of the sudden when I started X (what the hell?? >.<)

maybe I misconfigured X ?
btw, thanks for the help so far..

edit: I also found out that my X was using 97% ++ of my cpu while I could do anything with my screen..

btw, thanks for the help so far..
Maybe...I guess you could try to run fglrxconfig again and see what happens. I can't believe they didn't fix the AMD cache issue with this release...

That would explain why I had ablsolutely no issues with Intel and you are having the same issues with AMD.

This is unacceptable from ATI IMO. They need to get with the program. Not like we are expecting Nvidia quality drivers here. Just something that works for crying out loud. Ati must have two linux driver coders setting in a dark basement some place smoking crack. It's one thing with open source community dev work and another with proprietary drivers written for manufactured hardware. They make the bucks selling the gear. They need to start supporting their products. Recently ATI promised to start putting out several drivers every 6 months. Hope they keep their promise and actually write drivers that work. Do a google search on fglrx. It's disgusting.

Re-run your config in text mode and use DeOne's example to go by. Report what that does. Be sure this line Option "UseInternalAGPGART" "no" is just as above. I would also write support@ati.com and let them know that they still have issues with their new linux drivers and the amd cache.
