What Distro? Did you create an initrd?

Or maybe the kernel is compiled without filesystem support?

Or misconfigured bootloader? Are you using lilo?

You may not have initrd support compiled into the kernel, if initrd cannot be loaded into memory when the kernel boots, then it cannot mount /sys /proc the kernel's virtuals filesystems, the kernel will then fail to load anything and error out.
