Your server time should be greater or less that of time server.
I couldn't remember exactly, but I know it works.. your time in the server must be either less or greater than the time of time server.
If your time in the server is greater or less than that of time in time server (one of the two), it cannot synchronize the time.
Say the time in time server is "a" minute and that of your server is "b" minutes.
I don't remember exactly, but if "a" >"b" or "b" is >"a", then ntp fails to synchronize. Say if "a">"b" in your case and it is failing, make "b">"a" and then try to run ntpdate again and see if it works.
