what is this msg concerning modules?

what is this -
Note: /etc/modules.conf is more recent that /lib/modules/2.4.22/modules.dep


and how do i resolve it?
and why are there so many modules.xxx files under /etc?

this has got to be theeeeeeeee most annoying message i have seen. i see it during startup, i see it if i try to load any modules - ugghhhh - the ugliest, and i wanna get rid of ittt....
