how do i update a device driver in linux - rhel5, say for example i want to update a driver of my nic card os rhel5, kernel 2.4, what would be the commands and where do i search for the latest drivers for my nic card? pls reply
Divice drivers are normally provided with the kernel, so it would be matter of installing a new one. If you have rhel5, you might find a later kernel available in the repository.

thanks, say i have any other Linux flavor machine any open source, so how do i go ahead updating the device driver, is it that we have to locate a particular rpm and install it? how do we go through..?
Something is amiss here. RHEL5(what you have listed) uses a 2.6.18 based kernel exclusively, not a 2.4 based kernel.
The vast majority of hardware support is built into the kernel(updated driver usually means updated kernel). It would help if you tell us specifically what hardware you think you need an updated driver, and what kernel (full version) you are actually running (as well as distro, arch, and version).
