The de-facto for a proxy is Squid, though it may seem complicated or too "serious" in some cases. There are plenty alternatives.
Speaking about a file server, I'd like to recommend you some special distro, as you're a newbie, something like FreeNAS.

You'll find this link useful http://www.linuxtopia.org/online_boo...ion/index.html (RHEL 5.x Admin HOWTO).
If you stick with RHEL, you'll probably want to use Samba for file-sharing to MS boxes.
I hope this is a paid subscription, otherwise you won't be able to get any updates eg RHEL is now at 5.6.
If you want a free version you can go Centos.

For RHEL, you don't use the rpm cmd (normally), you use yum, which is the pkg mgr; handles dependencies automatically.
See that link I gave you, plus http://kbase.redhat.com/faq/docs/DOC-2531

I suggest you to keep Proxy & File server separate. To make good proxy server you can use Squid & Dansguardian content filter, for File server use SAMBA.
