So, after installing Ubuntu Server 12.04 on my machine, what is clear is :
- it doesn't work with 2.6.32-41 kernel
- it works with at least 3.2.0-20

Well I guess the adapter works as it should, but you don't configure the network correctly.
Where do you get the gateway address from ? (Windows?)
Why 192.168.1.254 ?
What is doing dhcp in your network ?

When it works with another kernel, it could only mean that it loads the modules automatically (udev/hal ???)

Could you post the contents of dmesg , /var/log/syslog, /var/log/messages and the configuration file for your network and cards ?

Hi! I've experienced the same problem on a Debian with a kernel Linux 2.6.32-5-amd64 and I've fixed it after downloading, compiling and installing the driver.

- Download the driver on the chipset manufacturer website
- Dezip it and follow the readme file

You will need the kernel sources and the build-essential package for the compilation.

to heinblöd :

I'm sorry not answering you. I was on holiday at the moment you posted.
As macrophone says, it seems it is a driver problem.

to macrophone :
My desktop at home is still in 2.6.32-44. I'll try your fix when I'll have time and tell you.

thanks
