Slack 8.0 Eth0 woes

Hi all-
Just installed Slack 8.0 on an older Dell 166Mhz, 16 Mb RAM.
Everything is great except I can't get the Ethernet card (Netgear Fa311) configed.
It seems I should be using the rtl8139 module. when I :
# modprobe rtl8139

I get:
/lib/modules/2.2.19/net/rtl8139.o.gz: init_module: Device or Resource busy
/lib/modules/2.2.19/net/rtl8139.o.gz: insmod /lib/modules/2.2.19/net/rtl8139.o.gz failed

if I cat < /proc/pci the card shows up:

Bus 0, device 14, function 0:
Ethernet controller: NS Unknown device (rev 0).
Vendor id=100b. Device id=20.
Medium devsel. Fast back-to-back capable. IRQ 10. Master Capable. Latency=96. Min Gnt=11.Max Lat=52.
I/O at 0xfc00 [0xfc01].
Non-prefetchable 32 bit memory at 0xffbef000 [0xffbef000].

ifconfig -a shows loopback and dummy only no eth0.
Any ideas ?

also if I add io=0xfc00 to the end of the modprobe command it gives an invalid paramater parm_io

I'm sorta new at this so any help is appreciated.

Thanks a bunch.
