fedora 6 as time server

this is a simple enough prolbem
at my office, i have 2 machines, a pIII running fedora 6 and a 486 running debian 4
the 486 machine's cmos battery is dead (and i doubt ill find a replacement, however any ideas on how to jerry rig a replacement would be appreciated)
the pIII is dual network card running a NAT to supply the 486 (and my laptop that i occasionally bring in) with internet
both machines are behind a company firewall that doesnt allow ntpd to connect out but the pIII with fedora 6 has a good battery and it's date is accurate enough for my needs
what i need is how would i configure the PIII with fedora as a time server so that the 486 sets itself over the lan at boot
(yes i know, i have to manually put in the hd geometry and specify the floppy at boot everytime i shut off the 486 for awile but i can live with that)

running ntpd locally should be fine, the only thing you'll need to do is fudge the strata of the server to make it look like it's worth paying attention to when it's technically not.
