Is this server to complement the existing, or replace? Also, why are you wanting to migrate, and what do you want out of it?
Choice of MDA is basically down to which one you prefer, and which one does what you want it to do the best.
To advise on how to migrate, we'd need to know what the Exchange server does now, what you want the new server to do and, ideally, what you want to get out of the changeover.
Also, you mean MTA and F8 is way out of date. Given you have what sounds like a business setup, I'd go with RHEL (latest is 5.4) if you want paid support. If you want the same SW for free ie updates, no phone support, go Centos (free copy of RHEL).
Updates for both are 5-7 yrs. http://www.redhat.com/security/updates/errata/

It will replace the existing dns and exchange server which is on the same machine. Like in windows domain i want to create linux domain server (PDC) to control or manage my windows machine and printers. Also configure MDA (qmail) for intranet mail on same linux machine. Can is this possible. In a simple way I want to install Intranet DNS Server and Mail server for 'concast'com'. Please suggest me the way.
